Terms of Service

Plain English Summary: Freeddy is a SaaS platform for freelancers. By using it, you agree to these terms. We may suspend or terminate accounts for misuse. Our liability to you is limited. Indian law governs this agreement.

1. Acceptance of Terms

By accessing or using the Freeddy platform (the “Service”), operating at freeddy.online and all associated sub-domains, you (“User”, “you”) agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and our Refund Policy, all incorporated herein by reference.

If you do not agree with any part of these Terms, you may not access the Service. These Terms constitute a legally binding agreement between you and Freeddy (“we”, “us”, “Company”), operated from 380 G/1, South Behala Road, Near Natore Colony, Behala, Kolkata — 700061, West Bengal, India.

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement.

2. Description of Service

Freeddy is a dual-interface SaaS platform designed for independent professionals (“Freelancers”) and their clients (“Clients”). The Service includes, without limitation: a CRM pipeline, a secure client communication portal, a document and contract management suite, e-signature functionality, integrated payment workflows, and analytics tools.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, and without liability to you. Material changes will be communicated via email to your registered address.

3. User Accounts

3.1 Registration

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at inquiries@freeddy.online of any unauthorised use of your account.

3.2 Account Responsibility

You are solely responsible for all content, data, and actions undertaken through your account. Freeddy shall not be liable for any losses arising from your failure to safeguard your account credentials.

3.3 One Account Per User

Creating multiple accounts for the same individual or entity to circumvent restrictions, quotas, or pricing tiers is strictly prohibited and may result in immediate termination of all associated accounts.

5. Intellectual Property

5.1 Freeddy IP

The Service, including all software, interfaces, logos, trademarks, trade dress, and content created by us, is the exclusive intellectual property of Freeddy and is protected under the Copyright Act, 1957 (India), the Trade Marks Act, 1999 (India), the Information Technology Act, 2000 (India), and applicable international IP conventions. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely as required for your legitimate business use.

5.2 Your Content

You retain full ownership of all data, content, contracts, documents, and communications you create, upload, or transmit through the Service (“User Content”). By uploading User Content, you grant Freeddy a limited, worldwide, royalty-free licence to host, store, process, and display your content solely for the purpose of providing the Service to you. We do not sell or share your User Content with third parties except as required to provide the Service or as required by law.

6. Payments and Billing

Subscriptions are billed in advance on a monthly or annual basis as selected at checkout. All payments are processed by third-party payment processors (Stripe / Razorpay / PayPal) and are subject to their respective terms of service. By providing payment information, you authorise us to charge the applicable fees to your payment method.

Prices may be changed at any time. However, price changes will not apply to existing Founding Members who joined under the Lifetime Price Lock offer, whose rate will remain at $9/month for the lifetime of the product.

7. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any breach of these Terms. Upon termination, your right to use the Service will immediately cease. We will provide you with an export of your data for 30 days following account termination, after which your data will be permanently deleted from our systems.

You may cancel your account at any time from your account settings. Cancellation does not entitle you to a refund except as provided under our Refund Policy.

8. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED ACCESS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FREEDDY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE.

IN NO EVENT SHALL FREEDDY'S AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO FREEDDY IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) INR 5,000 (FIVE THOUSAND INDIAN RUPEES).

9. Indemnification

You agree to defend, indemnify, and hold harmless Freeddy and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your breach of these Terms; (b) your violation of any applicable law or the rights of a third party; or (c) your User Content.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles. The Courts of Kolkata, West Bengal, India shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.

Before initiating legal proceedings, the parties agree to attempt to resolve any dispute informally by contacting inquiries@freeddy.online. If the dispute is not resolved within 30 days of the informal request, either party may pursue formal legal remedies.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice via email for material changes. Continued use of the Service after such notice constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

12. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Freeddy regarding the Service and supersede all prior agreements.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may freely assign our rights and obligations under these Terms.
